These Terms explain the rules for using ResellScope and describe how we access and use your data to provide the Service. By using ResellScope, you agree to these Terms.

1. Who we are

ResellScope is a reseller management platform that helps you track inventory, sales, meetings, and profitability. These Terms and Conditions ("Terms") govern your access to and use of the ResellScope website, app, and services (the "Service").

2. Eligibility

You must be at least 16 years old and able to enter into a legally binding agreement to use the Service. If you use the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

3. Accounts and access

You are responsible for keeping your login credentials confidential and for all activity under your account. You agree to provide accurate information and to keep it up to date. We may suspend or terminate accounts that violate these Terms or pose security risks.

4. Subscriptions, trials, and payments

Paid features require an active subscription. Pricing, plan duration, and billing terms are displayed before purchase. Payments are processed by third-party payment providers. You authorize us and our payment providers to charge the applicable fees and taxes. Unless otherwise stated, subscriptions renew automatically until canceled. You can cancel at any time to stop future renewals; fees already paid are non-refundable unless required by law.

5. Your data and content

You retain ownership of the data you upload or create in the Service, including inventory lists, sales records, and notes ("User Content"). You grant us a limited license to host, store, process, and display User Content solely to provide and improve the Service. We do not sell your data. We may access your data to provide support, troubleshoot, secure the Service, and comply with legal obligations.

6. Acceptable use

You agree not to misuse the Service. This includes attempting to access non-public areas, interfering with Service functionality, reverse engineering, violating applicable laws, or uploading unlawful, infringing, or harmful content. We may remove content or restrict access if we believe it violates these Terms.

7. Third-party services

The Service may integrate third-party services (such as payment processors or analytics). Your use of those services is governed by their terms and policies. We are not responsible for third-party services.

8. Intellectual property

All rights in the Service, including branding, design, and software, are owned by ResellScope or its licensors. You may not copy, modify, distribute, or create derivative works from the Service except as expressly allowed by law or with our written permission.

9. Confidentiality

If we share non-public information with you, you must keep it confidential and use it only for accessing the Service. This does not apply to information that is public or independently developed without reference to confidential information.

10. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we need to protect the Service or other users. Upon termination, your right to use the Service ends, and we may delete your data in accordance with our retention policies.

11. Disclaimers

The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation. We are not responsible for your business decisions, tax obligations, or financial outcomes based on data in the Service.

12. Limitation of liability

To the maximum extent permitted by law, ResellScope is not liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill. Our total liability for any claim related to the Service is limited to the amount paid by you for the Service in the 12 months preceding the event giving rise to the claim.

13. Changes to the Service or Terms

We may update the Service or these Terms from time to time. If changes are material, we will provide reasonable notice. Continued use of the Service after changes become effective means you accept the updated Terms.
